RESOLUTION NO. 2026-R-107

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LAREDO, TEXAS, AUTHORIZING THE CITY’S PARTICIPATION IN THE TASB ENERGY COOPERATIVE; APPROVING THE TASB ENERGY COOPERATIVE INTERLOCAL PARTICIPATION AGREEMENT; AUTHORIZING THE CITY MANAGER OR DESIGNEE TO EXECUTE THE AGREEMENT AND ANY RELATED DOCUMENTS; AND PROVIDING FOR AN EFFECTIVE DATE.

WHEREAS, the City of Laredo, Texas (the “City”), is a home-rule municipality and political subdivision of the State of Texas authorized to enter into interlocal agreements pursuant to Chapter 791 of the Texas Government Code, the Interlocal Cooperation Act; and

WHEREAS, the TASB Energy Cooperative (the “Energy Cooperative”) is an administrative agency of cooperating local governments established pursuant to Chapter 791 of the Texas Government Code and authorized as a local purchasing cooperative organization pursuant to Section 271.101 et seq. of the Texas Local Government Code; and

WHEREAS, the Energy Cooperative provides participating local governments with opportunities to procure electricity, transportation fuel, and other energy-related products, commodities, and services through competitive procurement processes designed to facilitate compliance with state purchasing laws and potentially reduce administrative burdens and costs; and

WHEREAS, the City Council finds that participation in the Energy Cooperative may provide the City with greater purchasing efficiencies, potential cost savings, and access to competitively procured energy services vendors; and

WHEREAS, the City Council has reviewed the TASB Energy Cooperative Interlocal Participation Agreement (the “Agreement”) and finds that approval of the Agreement is in the best interest of the City.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LAREDO THAT:

 

Section 1. The recitals contained in this Resolution are hereby found to be true and correct and are incorporated herein for all purposes.

Section 2 The City Council hereby approves the TASB Energy Cooperative Interlocal Participation Agreement, in substantially the form presented to the City Council.

Section 3, By approval of the Agreement, the City agrees to become a member of the TASB Energy Cooperative and to participate in the cooperative purchasing program in accordance with the terms of the Agreement.

Section 4. The City Manager, or the City Manager’s designee, is hereby authorized to execute the Interlocal Participation Agreement, any related Letters of Commitment, Energy Services Agreements, program participation documents, renewals, amendments, and any other documents necessary to effectuate the City’s participation in the TASB Energy Cooperative, subject to review and approval by the City Attorney as to form.

Section 5. The City Manager, or designee, is further authorized to designate a program coordinator for purposes of administering the City’s participation in the Energy Cooperative.

 

Section 6. All actions previously taken by City officials and employees consistent with the intent of this Resolution are hereby ratified and confirmed.

 

Section 7. If any section, subsection, sentence, clause, or phrase of this Resolution is for any reason held to be invalid, such decision shall not affect the validity of the remaining portions of this Resolution.

 

Section 8. This Resolution shall take effect immediately upon its passage.
